Submission Guidelines

The following are the rules that governuse of the AdamZaius.net web site and the services that we may offer(the "Site"), including without limitation email, a searchable directoryof business web sites, links to other web sites, and access to news andinformation.  Our Editors will review your site. If the site isunsuitable in the Editor's opinion, then the Editor can choose to rejectyour site. The Editor's decision is final and there will be no refund ofyour bid.

By using the Site, you agree to be boundby these Terms and Conditions of Use (the "TCU"), including but notlimited to the Privacy Policy and other usage guidelines and rules thatmay be posted from time to time, all of which are incorporated herein byreference, and to follow the TCU and all applicable laws and regulationsgoverning the Site. If you do not agree, do not enter or use the Site.

AdamZaius.net may update the TCU fromtime to time. You are responsible for checking this page periodicallyfor changes and updates to the TCU. Your use of the Site following anyposted change(s) to the TCU will be deemed an acceptance of suchchange(s).

In addition, when using the Site, youshall be subject to any posted guidelines or rules, which may be postedfrom time to time. All such guidelines or rules are hereby incorporatedby reference into the TCU.

This Site is not intended for use bypersons under the age of thirteen. Individuals who are under thirteenare expressly prohibited from posting any personally identifiableinformation about themselves.

Legal notices and various other acknowledgements and credits areposted on pages of the Site. Do not remove these legal notices or otheracknowledgements or credits, or any related information, contained onpages of the Site.

Infringes any patent, copyright,trademark, service mark, trade secret, or other proprietary right of anyother party;

Contains restricted password only accesspages, or hidden pages or images (those not linked to or from anotheraccessible page);

Provides material that exploits peopleunder the age of 18 in a sexual or violent manner, or solicits personalinformation from anyone under 18;

Provides instructional information aboutillegal activities such as making or buying illegal weapons, orproviding or creating computer viruses;

Contains a software virus or any othercode files or programs that are designed to or have the ability tointerrupt, destroy, compromise, or otherwise limit the functionality ofany computer software or hardware or telecommunications equipmentwhether owned by AdamZaius.net or any other party;

Solicits passwords, or personalidentifying information for commercial or unlawful purposes from otherusers; or

Otherwise violates any local, state,national or other applicable law or regulation.

In addition, you may not, in connectionwith your use of the Site:

Impersonate any person or entity,including a AdamZaius.net officer or employee, or falsely misrepresentyour affiliation with any other person or entity;

Forge headers or otherwise manipulateidentifiers for the purpose of disguising the origin of any User Contentposted or transmitted through or on the Site;

Engage in commercial activities and/orsales without AdamZaius.net's prior written consent including, withoutlimitation, contests, sweepstakes, barter, or advertising;

Post or transmit any Content that you donot have the right to post or transmit;

Post or submit unsolicited commerciale-mail, chain letters, pyramid schemes, or seek or encourage others toengage in these activities;

Disrupt the ordinary flow and operationof any portion of the Site, including causing a screen to scroll fasterthan another User may be able to type in a chat room or bulletin boardenvironment;

Interfere with or disrupt the Site or anyserver or network involved with the operation of the Site;

Stalk or harass any other person; or

Collect or "harvest" from the Site thenames of other users for the purpose of transmitting to those otherusers unsolicited commercial messages.

With respect to User Content you elect topost or transmit for inclusion in or on the Site, you grantAdamZaius.net and its affiliates and partners the perpetual, world-wide,royalty free, non-exclusive, sub-licensable license as follows: to use,reproduce, translate, alter, perform, display, modify, adapt, andpublish such User Content, in whole or in part, in all present andfuture media and in any manner relating to the Site (including withoutlimitation in connection with the appearance of such User Content onAdamZaius.net and on the sites of our affiliates, partners and otherswith whom AdamZaius.net may have business relationships relating to theSite) and the distribution and promotion of the Site. You further agreethat AdamZaius.net is free to use any ideas, know-how, concepts,techniques or other materials you send us for any purpose.

Without limitation of any of the rightsgranted to AdamZaius.net herein, you acknowledge and agree thatAdamZaius.net may preserve User Content and may also disclose UserContent if required to do so by law or in the good faith belief thatsuch preservation or disclosure is reasonably necessary to: (a) complywith legal process; (b) enforce the TCU; (c) respond to claims that anyUser Content violates the rights of third-parties; or (d) protect therights, property, or personal safety of AdamZaius.net, its users and thepublic.

You agree to indemnify and holdAdamZaius.net, its subsidiaries, affiliates, officers, agents,co-branders, and other partners and employees, harmless from any loss,liability, claim or demand, including reasonable attorney's fees, madeby any third party due to or arising out of User Content you submit,post to, or transmit through the Site, your use of the Site, includingyour use of the Site to provide a link to another Site or to uploadcontent or other information to the Site, or your violation of the TCUor any applicable laws or the rights of another.

The Site may provide links andautomatically produce search results, or third parties may provideinformation, that reference or link to other World Wide Web sites orresources. AdamZaius.net has no control over such sites and resources,and you acknowledge and agree that AdamZaius.net is not responsible forthe content or information contained therein. AdamZaius.net cannot anddoes not guarantee, represent, or warrant that the content orinformation contained in such third-party sites is accurate, legaland/or inoffensive. AdamZaius.net does not endorse the content orinformation of any third-party site or resource, and further does notwarrant that such sites or resources will not contain viruses orotherwise impact your computer. By using the Site to search for or linkto another site, you agree and understand that AdamZaius.net shall notbe responsible or liable, directly or indirectly, for any damages orloss caused or alleged to be caused by or in connection with your useof, or reliance on, the Site to obtain search results and/or to link toanother site. You agree not to reproduce, duplicate,copy, sell, resell or exploit for any commercial purposes, any portionof the Site, use of the Site, or access to the Site, without theexpress, prior written consent of AdamZaius.net in each instance.

AdamZaius.net reserves the right at anytime and from time to time to modify or discontinue, temporarily orpermanently, the Site (or any part thereof) with or without notice. Youagree that AdamZaius.net shall not be liable to you or to any thirdparty for any modification, suspension, or discontinuance of the Site.

AdamZaius.net reserves the right, at itssole discretion, immediately and without notice, to suspend or terminatethe TCU, your registration for any program, your ability to access theSite, your ability to utilize any email services offered on the Site,and/or to remove any User Content, for any reason, including withoutlimitation any breach by you of the TCU or conduct by you thatAdamZaius.net determines to be inappropriate. You agree thatAdamZaius.net shall not be liable to you or any third-party for anysuspension or termination pursuant to this provision.

AdamZaius.net understands and respectsthe importance of intellectual property.

In consideration of your use of the Site,you agree to: (a) provide true, accurate, current and completeinformation about yourself as prompted by the Site's registration form(such information being the "Registration Data") and (b) maintain andpromptly update the Registration Data to keep it true, accurate, currentand complete. If you provide any information that is untrue, inaccurate,not current or incomplete, or AdamZaius.net has reasonable grounds tosuspect that such information is untrue, inaccurate, not current orincomplete, AdamZaius.net has the right to suspend, terminate, or refuseany and all current or future use of the Site (or any portion thereof).

We believe that your privacy and theprivacy of all of our users is important. In the event you are requestedto register on the Site, you may be given an opportunity to "opt in" toreceive mailings from AdamZaius.net and/or its partners by "checking" ona box in the registration form. If you submit a registration form withthe box checked, you thereby consent to being placed on this mailinglist. You may subsequently contact us to request to be removed from thislist. (For purposes of the TCU, "partners" includes, in addition tothird parties with whom AdamZaius.net may have co-branding arrangementsor some other business relationship or alliance, other Web sitesincubated or funded by eCompanies, as such term is defined below.)

AdamZaius.net is not liable for any lostdata resulting from the operation of our Site and/or the enforcement ofthe TCU (including without limitation content from any e-mail accounthosted by AdamZaius.net), and is not obligated to maintain back-upcopies of any contributed User Content or e-mail messages. We recommendthat you retain a copy of all User Content that you post or distributeto, or through, the Site.

You understand and agree thatAdamZaius.net may release information about you if required by law orsubpoena, or if the information is necessary or appropriate to releaseto address an unlawful or harmful activity.

You will receive a password and accountdesignation upon completing the Site's registration process. You areresponsible for maintaining the confidentiality of the password andaccount, and are fully responsible for all activities that occur underyour password or account. You agree to (a) immediately notifyAdamZaius.net of any unauthorized use of your password or account or anyother breach of security, and (b) ensure that you exit from your accountat the end of each session. AdamZaius.net cannot and will not be liablefor any loss or damage arising from your failure to comply with thisSection. Without limitation to the generality of the foregoing, due tothe nature of Internet, computers, data flow, and other technical andeconomical practicalities, the Site, like most computer data andInternet applications, is vulnerable to various security issues andhence should be considered unsecured. By using the Site and the Internetin general, you may be subject to various risks, including, amongothers, eavesdropping, sniffing, spoofing, forgery, spamming, "imposturing",tampering, breaking passwords, harassment, fraud, electronictrespassing, hacking, system contamination including without limitation,viruses, worms, Trojan horses, causing unauthorized, damaging or harmfulaccess and/or retrieval of information and data on your computer andother forms of activity that may even be considered unlawful.Information (including Registration Data, passwords and User Content)received or delivered or intended to be made available on and throughthe Site may be subject to these and other security or privacy hazardsor may not reach its destination or reach an erroneous address orrecipient. The Site is not different than other applications in thisrespect. Without limitation of the foregoing, although we take seriouslythe security of all member accounts and other personal and non-personalinformation associated with our visitors and participants, due to theopen communication nature of the Internet, we can not guarantee thatyour account will be free from unauthorized access by third parties.

You expressly understand and agree that:

AdamZaius.net expressly disclaims all warranties ofany kind, whether express or implied, including, but not limited to, theimplied warranties of merchantability, fitness for a particular purpose,or non-infringement. AdamZaius.net makes no warranty that the Site orany related services, such as email, links, or searches offered on theSite will be error-free, uninterrupted, timely, secure, or that it willprovide specific results from use of the Site or any content, search orlink therein. AdamZaius.net further cannot ensure that files youdownload from the Site will be free of viruses, Trojan horses, bugs,contamination, or destructive features.

Any material viewed, downloaded, orotherwise obtained through the use of the Site is done solely at yourown discretion and risk, and AdamZaius.net will not be liable for anydamages of any kind arising from the use of the Site, including, withoutlimitation, direct, indirect, incidental, punitive, or consequentialdamages.

No advice or information, whether oral orwritten, obtained by you from AdamZaius.net or through or from the Siteshall create any warranty not expressly stated in the TCU. Data andinformation relating to securities or otherwise is provided forinformational purposes only, and is not intended for trading purposes.Neither AdamZaius.net nor any of its data or content providers shall beliable for any errors or delays in the content, or for any actions takenin reliance thereon.

You expressly understand and agree thatAdamZaius.net shall not be liable for any indirect, incidental, special,consequential or exemplary damages, including but not limited to,damages for loss of profits, goodwill, use, data or other intangiblelosses (even if AdamZaius.net has been advised of the possibility ofsuch damages), resulting from: (i) the use or the inability to use theSite; (ii) the cost of procurement of substitute goods or servicesresulting from any goods, data, information or services purchased orobtained or messages received or transactions entered into through orfrom the Site; (iii) unauthorized access to or alteration of yourtransmissions or data; (iv) statements or conduct of any third party onthe Site; or (v) any other matter relating to the Site or the contentthereon, including without limitation any user content posted thereon.In no event will AdamZaius.net be liable for any damages in excess ofone hundred pounds sterling (£100.00).

Some jurisdictions do not allow theexclusion of certain warranties or the limitation or exclusion ofliability for incidental or consequential damages. Accordingly, some ofthe above limitations may not apply to you.

The TCU constitutes the entire agreementbetween you and AdamZaius.net and governs your use of the Site,superceding any prior agreements between you and AdamZaius.net. You mayalso be subject to additional terms and conditions that may apply whenyou use affiliate services, third-party content, or third-partysoftware.

You agree that the TCU and therelationship between you and AdamZaius.net shall be governed by the lawsof the United Kingdom without regard to its conflict of law provisions.You agree to submit to personal and exclusive jurisdiction by and venuein the British. The failure of AdamZaius.net to exercise or enforce anyright or provision of the TCU shall not constitute a waiver of suchright or provision.

If any provision of the TCU is found by acourt of competent jurisdiction to be invalid, the parties neverthelessagree that the court should endeavour to give effect to the parties'intentions as reflected in the provision, and the other provisions ofthe TCU remain in full force and effect. You agree that regardless ofany statute or law to the contrary, any claim or cause of action arisingout of or related to use of the Site or the TCU must be filed within one(1) year after such claim or cause of action arose or be forever barred.

The section titles in the TCU are forconvenience only and have no legal or contractual effect.
